TERMS & CONDITIONS FOR ON-LINE COURSES AND MEMBERSHIP PROGRAMMES

By signing up to any of our on-line courses and programmes, and/or using any of our websites, you agree to the following Terms & Conditions:

1 DEFINITIONS

1.1  The ‘paying client’ or ‘client’ or ‘member’ is you

1.2 WIZZ&CO may also be referred to as ‘us’ or ‘we’, and other such terms to differentiate between ‘us’ (the provider) and ‘you’ (the client). All these terms refer to the business owned by Selvey Consulting Ltd

1.3  This document refers to any online delivery of content to you, anywhere in the world, provided by WIZZ&CO and WIZZ&CO websites and course delivery systems. 

1.4 ‘Online’ refers to any electronic platform or repository used by WIZZ&CO, including but not limited to WIZZ&CO websites, social media, team-rooms, etc. This also includes video for broadcast, either as downloads or live feeds via video files or social media platforms such as FaceBook, Instagram, Zoom, etc 

1.5  The terms ‘materials’ ‘modules’ ‘downloads’ ‘lessons’ and ‘coursework’ refer to the electronic documents and supporting information that are provided for your studies.

1.6  “Intellectual Property Rights” means all patents, registered and unregistered designs, copyright, trademarks, know-how and all other forms of intellectual property wherever in the world enforceable;

1.7  “Agreement” refers to these terms and conditions and is deemed a legally binding contract as soon as enrolment has been completed and fees paid.

2 GENERAL

2.1  These Terms and Conditions shall apply to all contracts for the supply of on-line courses by WIZZ&CO to its clients and members.

2.2  We reserve the right to change these terms and conditions at any time.

3 JOINING, MINIMUM DURATION, PAYMENT & CANCELLATION

3.1  Joining a membership scheme or access to an on-line course is not considered complete until payment has been made and received by WIZZ&CO. You agree to join a membership scheme with a monthly repeating fee

3.2   The minimum duration for any membership programme is six (6) months

3.3  Cancellation and refund policy: Your statutory right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 in the UK means that you waive your cancellation right once you have accessed any of digital content provided by WIZZ&CO. If content has yet to be accessed, we will allow 14 days cancellation period. Once started, membership programmes require 30-day cancellation notice. Refunds are not available 

3.4   Cancellation of 1-1s: 1-1 meetings can be cancelled up to 72 hours before the agreed time and moved to a new, mutually-convenient time as agreed by both parties. Cancellation within 72 hours of the originally agreed time will be result in the meeting being forfeited. No forfeited meeting can be rolled forward in to the following month

3.4  Email is accepted as a formal written request for cancellation.

3.5  Payments not made in Sterling (GBP, £) are subject to 1.5% handling charge.

4 PAYMENTS

4.1 When you sign up to a membership (ongoing) payment plan with WIZZ&CO, you agree to pay your instalments on time as part of the recurring membership plan. Instalments are then deducted automatically from your card or PayPal account on a monthly basis.

4.2 If you pay through the use of instalments and fail to meet your regular payments, then your account will be suspended until delayed payments have been received. If further payments are then not provided within a period of 14 days, you will be removed from the scheme.

4.3 Refunds are not available on membership payments unless they fall within the initial 30 days of enrolment; ie as per cancellation.

4.4  Repeating, monthly payments will be taken as direct debit from a UK bank, credit card or via PayPal.

5 EQUALITY & DIVERSITY POLICY

5.1  We have a strict Equality & Diversity Policy for enrolment and never discriminate on the basis of gender, ethnic origin, race, religion, age, disability or sexual preference.

5.2  Bullying or harassment is not permitted and such behaviour will result in suspension from WIZZ&CO courses.

5.3  Members must respect the equality and diversity policies outlined in associated WIZ&CO Respect at Work Policy. Breaches against this policy will result in immediate cancellation of membership with no return nor rebate of current month or notice period fees. 

6 COURSE CONTENT

6.1  We reserve the right to make changes to the membership scheme and associated content at any time.

6.2  WIZZ&CO warrants that the Materials will be of satisfactory quality but does not warrant that the Materials will be error free.

7 CONTENT AVAILABILITY 

7.1   WIZZ&CO’s on-line courses are available for two years after purchase. Ongoing membership content access is available for the duration of the monthly payment. All access, and continued use of, WIZZ&CO materials stop once the monthly membership stops 

8 TERMINATION OF SERVICE

8.1  If: (a) you fail to pay any amount due under this Agreement; (b) you breach any of the other terms and conditions, express or implied, of the Agreement; or (c) any information provided by you in the making of this Agreement proves to be incomplete or inaccurate, we shall be entitled, after the expiry of a Default Notice served on you, to terminate this Agreement.

8.2  WIZZ&CO reserves the right to terminate this agreement with clients who do not follow the associated Respect at Work and other WIZZ&CO associated policies.

9 CODE OF CONDUCT

9.1  This code of conduct is part of the general terms and conditions that you accept when you start membership.

9.2  You commit to keep your login details safe and not to share, sell or otherwise distribute them to any third parties.

9.3 Your login credentials are unique to you only. They must not be shared. We track usage to ensure successful use of the membership programme. Any sharing of login credentials will result in immediate cancellation of membership and loss of access to all WIZZ&CO collateral. No refunds nor rebates will be issued in the event of sharing login credentials 

10 COPYRIGHT AND INTELLECTUAL PROPERTY RIGHTS

10.1 All materials on any of our websites or platforms are copyright of WIZZ&CO and may not be shared or reproduced without our written permission. All rights reserved.

10.2 When you enrol with WIZZ&CO, you promise not to share, sell, publish, copy or otherwise distribute our course materials to any third parties.

10.3  Any information shared within group sessions (in discussion with other WIZZ&CO clients) is confidential to the group and must not be  discussed or released outside of the group audience

11 INDEMNIFICATION

11.1 Clients shall indemnify WZZ&CO against all claims, costs and expenses which arise, directly or indirectly, from the member’s breach of any of its obligations under this Agreement.

12 LIMITATION OF LIABILITY

12.1 Except in respect of death or personal injury due to negligence for which no limit applies, the entire liability of WIZZ&CO to clients in respect of any claim whatsoever or breach of this Agreement, whether or not arising out of negligence, shall be limited to the fees paid by the Client to which the claim relates.

12.2  In no event shall WIZZ&CO be liable to the Client for any loss of business, loss of opportunity or loss of profits or for any other indirect or consequential loss or damage whatsoever. This shall apply even where such a loss was reasonably foreseeable or WIZZ&CO had been made aware of the possibility of incurring such a loss.

13 GOVERNING LAW AND JURISDICTION

13.1 This agreement and any disputes or claims arising out of or in connection with its subject matter or formation (including non-contractual disputes or claims) are governed by and construed in accordance with the law of England & Wales.

13.2 The parties irrevocably agree that the courts of England & Wales have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this agreement or its subject matter or formation (including non-contractual disputes or claims).
